Enterprise Onboarding and Implementation
Professional Services Program Description (“Program Description”)
1. Overview
Customers subscribing to the ShoSoft Enterprise Subscription Plan (“Enterprise Plan”) receive onboarding, implementation, configuration, data migration, and training services as part of their Enterprise Plan (collectively, “Onboarding Services”). The Onboarding Services are designed to facilitate Customer’s deployment and adoption of the Services and are provided by ShoSoft on a reasonable-efforts basis.
Onboarding Services are provided as Professional Services under the ShoSoft Professional Services Addendum. Capitalized terms used but not defined in this Program Description have the meanings set forth in the Professional Services Addendum.
2. Scope of Onboarding Services
Onboarding Services may include, as determined by ShoSoft based on Customer’s implementation requirements and selected Enterprise Plan features, the following:
- 1.Dedicated Onboarding Specialist. Assignment of a ShoSoft onboarding specialist to guide implementation and serve as Customer’s primary point of contact during onboarding.
- 2.ShoSoft Platform Configuration and Setup. Configuration of Customer’s ShoSoft environment, including venue profiles, inventory, resources, service catalogs, event settings, user roles, permissions, pricing structures, templates, and other ShoSoft Platform settings reasonably required for implementation.
- 3.Data Migration. Migration of certain Customer Data from approved source systems, files, exports, and records into the ShoSoft Platform, subject to the limitations and requirements set forth herein.
- 4.Staff Training. Live remote training sessions for Customer personnel regarding ShoSoft Platform navigation, workflows, event management, booking management, inventory management, reporting, and other ShoSoft Platform functionality.
- 5.Launch Assistance. General implementation guidance, migration validation support, and reasonable assistance in preparing Customer for production use of the ShoSoft Platform.
Unless otherwise expressly agreed in writing, all Onboarding Services are performed remotely.
3. Migration of Customer Data
3.1 Supported Data. Subject to technical compatibility, Customer authorization, data quality requirements, and the limitations described below, ShoSoft may migrate the following categories of data (collectively, “Supported Data”) to the extent such data is available, accessible, sufficiently complete, and reasonably compatible with ShoSoft’s import processes:
- 1.Event scheduling information, including event names, dates, times, room assignments, setup schedules, teardown schedules, and related event metadata.
- 2.Customer, venue, organization, exhibitor, producer, attendee, vendor, sponsor, and contact directory information.
- 3.CRM and sales records, including quotations, proposals, executed agreements, pricing templates, and invoice-related metadata.
- 4.Venue configuration data, inventory records, service catalogs, equipment lists, and package information.
- 5.Other structured business data expressly approved by ShoSoft in writing during implementation scoping.
3.2 Excluded Data
Unless otherwise agreed upon by the Parties in writing, Onboarding Services do not include the migration of the following data:
- Payment card data, banking credentials, or other regulated payment information.
- User authentication credentials, password hashes, multi-factor authentication data, or identity-provider information.
- Proprietary application code, stored procedures, executable scripts, system binaries, application source code, or unsupported database objects.
- Corrupted, encrypted, inaccessible, unsupported, or improperly formatted source data.
- Data subject to legal restrictions, contractual restrictions, export controls, or other limitations that would prevent migration.
- Content requiring manual recreation or interpretation from unsupported document formats.
- Archived email stores, backup systems, or historical records not reasonably accessible through supported export methods.
- Any other data not expressly identified as Supported Data.
4. Supported Source Systems and File Formats
ShoSoft supports migration from commercially reasonable source systems and industry-standard export formats, which may include the following, subject to technical feasibility and availability of compatible exports:
- Microsoft Exchange and Microsoft Outlook.
- Google Workspace.
- Microsoft Excel and CSV exports.
- Standard JSON exports.
- iCalendar (.ics) files.
- vCard (.vcf) files.
- Searchable PDF documents.
- Industry-standard exports from supported venue and event management platforms, where technically feasible.
Supported file formats include:
- .csv
- .xlsx
- .json
- .ics
- .vcf
Additional file formats, source systems, custom integrations, or proprietary export formats may require separate evaluation and may be subject to additional fees under a separate Statement of Work. ShoSoft does not guarantee compatibility with all third-party systems, data formats, exports, legacy applications, or proprietary databases.
5. Standard Migration Capacity
Unless otherwise agreed upon by the Parties in writing, Onboarding Services include migration of up to:
- 50 MB per individual file.
- 10 GB of aggregate historical documents and attachments.
- 50,000 contact or organization records.
- 5,000 historical and future event records.
- 100 active user accounts.
Data volumes exceeding these thresholds may require the purchase of additional services, revised project timelines, additional fees, and/or are subject to a separate Statement of Work.
6. Services Outside the Scope
Unless otherwise agreed upon by the Parties in writing, Onboarding Services do not include:
- Manual data cleansing, normalization, enrichment, deduplication, or record correction.
- Financial auditing, accounting reconciliation, or validation of historical accounting records.
- Recreation of unsupported workflows, custom legacy functionality, or third-party business logic.
- Ongoing bulk imports, recurring migration services, or post-implementation migration activities.
- Custom software development.
- Custom integrations with third-party systems.
- On-site implementation services.
- Recreation of reports, dashboards, formulas, calculations, automation rules, or business logic from legacy systems.
- Data extraction from source systems that do not provide commercially reasonable export, reporting, or data-access functionality.
- Ongoing system administration, data-entry services, or managed services after completion of the Onboarding Services.
Any requested services outside the standard scope may be provided under a separate Statement of Work and may be subject to additional fees.
7. Customer Responsibilities
To facilitate Onboarding Services, Customer shall:
- Designate a primary project administrator with authority to coordinate implementation activities and approve project deliverables.
- Provide complete, accurate, and legally authorized source data in ShoSoft-approved templates or other mutually accepted formats.
- Deliver all required source files, migration materials, and supporting documentation within ten (10) calendar days after project kickoff, unless otherwise agreed.
- Provide all necessary administrative credentials, permissions, and access required for ShoSoft to perform the Onboarding Services.
- Participate in project meetings and timely respond to information requests.
- Review, validate, and test migrated data promptly following completion of the applicable migration and notify ShoSoft in writing of any material migration discrepancies within ten (10) calendar days following completion of the migration.
Failure to satisfy the foregoing responsibilities may delay implementation timelines and may require a revised project schedule, additional Professional Services, additional fees, or a separate Statement of Work.
8. Acceptance and Completion
Onboarding Services will be deemed complete upon the earliest of:
- Customer’s written acceptance of the migrated Customer Data; or
- Thirty (30) calendar days following ShoSoft’s commencement of the Onboarding Services, unless otherwise agreed by ShoSoft in writing.
Following completion of the Onboarding Services, any additional migration, remediation, implementation, consulting, or configuration work requested by Customer shall be treated as additional Professional Services and may require a separate Statement of Work and additional fees.
9. Legacy Systems
Customer acknowledges that legacy systems, third-party platforms, and historical databases may contain data structures, custom fields, workflows, reports, attachments, or metadata that are not supported by the Onboarding Services. ShoSoft is not obligated to recreate, preserve, or replicate any functionality, formatting, calculations, reports, workflows, integrations, custom fields, system configurations, automation rules, or historical system behavior that is unavailable, unsupported, undocumented, inaccessible, or incompatible with the ShoSoft Platform or Services.
10. Additional Terms
Customer shall be solely responsible for the accuracy, completeness, quality, legality, integrity, and format of all data, content, and information supplied to ShoSoft to perform the Onboarding Services. Customer acknowledges that certain data may require cleansing, transformation, mapping, validation, testing, or other efforts before migration and that some data may not be capable of being migrated to the ShoSoft Platform or Services. ShoSoft does not represent, warrant, or guarantee that any data migration will be complete, error-free, uninterrupted, or capable of migrating all historical data, custom fields, attachments, integrations, reports, or third-party data. Customer is responsible for maintaining complete backup copies of any source data prior to migration. ShoSoft shall have no responsibility or liability for any delays, deficiencies, inaccuracies, omissions, corruption, or failures arising from incomplete, inaccurate, inaccessible, corrupted, improperly formatted, or otherwise deficient data, systems, documentation, or information supplied by Customer or any third party.
Customer acknowledges that migrated data may require post-migration review, validation, testing, and reconciliation by Customer and that Customer remains solely responsible for verifying the completeness and accuracy of migrated Customer Data.
ShoSoft does not guarantee any implementation timeline, go-live date, launch date, project milestone, or deployment schedule. Any estimated timelines are provided solely for planning purposes and may be modified based on Customer responsiveness, data quality, technical limitations, third-party dependencies, or other implementation factors.
